(Copenhagen, 17 February 2023) Napatech A/S ("Napatech", OSE: NAPA) today
announces an agreement with a US based technology company for a USD 7.5 million
investment in Napatech. The investment will be made through a private placement
of 6,200,738 million shares at NOK 12.34 per share, representing 6.94% of the
issued share capital of the Company post-delivery of the new shares. The share
price in the private placement corresponds to the volume weighted average price
over the five trading days from 09 February to 15 February.

In the Board of Directors report for H1 2022, Napatech announced that the
company was conducting a "strategic review to consider all strategic options to
maximize our shareholder value given the large opportunities that lie ahead."
The strategic review has now been concluded.

The Board of Directors holds an authorization from the Annual General Assembly
2022 to issue up to 8,309,520 new shares in the company, and the new shares will
be issued by use of this authorization. Following completion of the share issue,
Napatech's share capital will be nominal DKK 22,323,989.00, consisting of
89,295,956 shares, each with a par value of DKK 0.25.

The closing date of the transaction is expected to be around 14 April 2023.
